Experience
- Advised on refinancing facilities exceeding KES 1 billion provided by Kenya Mortgage Refinance Company PLC (KMRC) to a leading commercial bank to support its retail mortgage portfolio, backed by development financing from the World Bank and African Development Bank. Managed the legal workstream end to end, including borrower due diligence, security documentation, stamp duty exemptions and perfection of securities, and supported the legal opinions through to completion.
- Advising KCB Bank Kenya Limited on its takeover of KES 1.6 billion in banking facilities from another lender, currently at the execution stage. Manages the legal workstream, including corporate and property due diligence, third party legal charges, an all-assets debenture, shareholder loan subordination arrangements, and negotiating undertakings for release of original title documents.
- As the associate in charge, working with the supervising partner, manages the legal workstream on an ongoing USD 22.5 million acquisition of an income generating commercial real estate business in Kenya, held through the Kenyan branch of a Mauritius incorporated investment vehicle, initially structured as a share acquisition before being restructured as a business and assets transfer. Role includes legal due diligence on the seller, its properties and material agreements, and reviewing the Business and Assets Transfer Agreement.
- Advising a leading pan-African banking institution on resolving issues affecting title to a leasehold property securing approximately KES 330 million in banking facilities, after the property was erroneously classified as public land following gazettement as a historical and monumental site. Managed engagement with the National Land Commission, National Museums of Kenya and the Ministry of Lands to secure removal of the erroneous classification, and is now managing extension of the lease to protect the bank's security.
- As part of the legal team, advised the Privatization Authority and Kenya Pipeline Company PLC on the initial public offering and government divestiture of a 65% shareholding in the company, focusing on the legal due diligence workstream covering the issuer's corporate records and a fixed asset portfolio including more than 400 land titles across Kenya.
