- Debt recovery for a Kenyan commercial bank (USD 48,275,861): advised on recovery strategy and enforcement of security through foreclosure and exercise of the statutory power of sale against a borrower that was a government-owned state corporation, including structuring a transaction involving a project developer and approximately 10,000 off-takers, and advising on title perfection, regulatory approvals and tax implications.
- Squatter settlement and land regularisation for East African Portland Cement Company (EAPC) (approx. 908 acres, c. 7,000 settlors): structured a settlement and regularisation mechanism under a Government of Kenya land regularisation programme.
- Residential development structuring for property developers: advised developer clients from inception on structuring residential developments, negotiating and drafting sale, lease and long-term lease agreements for residential units, and advising on planning and regulatory compliance.
- Mortgage refinance facility structuring for Kenya Mortgage Refinance Company (KMRC): advised on eligibility criteria for mortgage assets, structured the security framework over large pools of mortgage receivables, and drafted, negotiated and perfected the facility and security documentation for participating financial institutions.
- Term loan facility for KCB Bank Kenya Limited (USD 4,234,000): financing for the acquisition of prime Nairobi property involving complex title restructuring, structured a four-step security process (title conversion, discharge of charge, transfer of title and registration of a new charge), supported by a deed of assignment of rental income.
- Multi-tranche trade finance facilities for Stanbic Bank Kenya Limited (USD 4,150,000): asset-based lending secured against fluctuating fuel stock for an energy-tech petroleum-industry borrower, including preparing and perfecting debentures securing multiple tranches and obtaining stamp duty exemptions.
